1. Who we are
Greene Comply ("we", "us", "Greene Comply") provides a hosted authorization and audit service for autonomous AI agent spend. These Terms govern your use of our website, APIs, dashboard, SDKs, and related services (the "Service").
Greene Comply is non-custodial. We never take title to or hold your funds. We evaluate each spend request against the rules you configure and return a decision — approve, deny, or hold for review. Where money settles in USDC, a regulated custodian (currently Circle) holds and moves the funds; we are a non-discretionary policy gate, not a money transmitter, bank, or broker.
2. Settlement, USDC, and testnet
- USDC settlement features are currently testnet only. No real funds are moved, and testnet assets have no monetary value.
- Custody and on-chain movement of USDC are performed by Circle under Circle’s own terms; your use of those features is also subject to Circle’s terms.
- Mainnet settlement, if offered, will be announced separately and may carry additional terms and eligibility requirements.
- You are responsible for funding any wallet you control and for the tax and regulatory treatment of your own transactions.
3. Your account
- You must be at least 18 to create an account.
- You're responsible for everything that happens under your account, including any agents you authorize and any tokens you mint.
- You must not share your delegate tokens, magic-link codes, or service keys with anyone outside your team.
4. Acceptable use
Your use of the Service is also governed by our Acceptable Use Policy. In short, you agree not to:
- Use the Service to facilitate unlawful activity, sanctioned transactions, money laundering, or fraud.
- Attempt to reverse-engineer, scrape, or overwhelm our authorization endpoint.
- Mint delegate tokens for agents controlled by people other than you or your authorized team.
- Submit identity documents or other data that are not yours or that you do not have legal authority to submit.
5. Identity verification
Some features may require identity verification before they can be enabled. Where verification applies, we may use document and biometric checks to confirm the person operating the account, and may flag verifications for manual review at our discretion. We do not store raw document images outside the encrypted identity-vault bucket. See our Privacy Policy for details.
6. Credits, billing, and refunds
- The Free tier is permanent and requires no card.
- Paid usage runs on prepaid credits. You top up a balance via Stripe; credits are drawn down as you authorize spend.
- When your credit balance reaches zero, the authorize endpoint returns HTTP 402 until you top up.
- Where we charge a take-rate on settled volume, the applicable rate is disclosed before you enable paid settlement.
- Refunds for unused credits: on request, at our reasonable discretion, less any fees already incurred.
7. Availability
We work to keep the authorize endpoint highly available but do not guarantee uninterrupted service on free usage. Any committed uptime SLA will be set out in a separate written agreement. Contact support for current health and historical uptime.
8. Data ownership
You own all data you submit to Greene Comply — including transactions, vaults, agents, and audit logs. We process it on your behalf strictly to operate the Service. You can export it anytime via the dashboard or API.
9. Disclaimers
- Nothing on the Service is financial, legal, investment, or tax advice.
- The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law.
- Agent transactions may execute without real-time human review unless you configure approval thresholds. You are responsible for setting guard rails appropriate to your risk.
- USDC settlement is testnet only; on-chain transactions are irreversible and outside our control once submitted to the network.
10. Limitation of liability
To the maximum extent permitted by law, Greene Comply's total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for any consequential, incidental, or indirect damages, including lost profits or lost revenue from missed agent transactions.
11. Termination
Either of us can terminate this agreement at any time. We'll give you 30 days' notice before terminating a paid account except in cases of fraud, abuse, or legal compulsion.
12. Changes to these terms
We may update these terms occasionally. If the change is material, we'll email the account owner.
13. Governing law
These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the state or federal courts located in New Castle County, Delaware.
