1. Who we are
Greene Comply ("we", "us", "Greene Comply") provides a hosted authorization and audit service for autonomous AI agent spend. These Terms govern your use of our website, APIs, dashboard, SDKs, and related services (the "Service").
2. Your account
- You must be at least 18 to create an account.
- You're responsible for everything that happens under your account, including any agents you authorize and any tokens you mint.
- You must not share your delegate tokens, magic-link codes, or service keys with anyone outside your team.
3. Acceptable use
You agree not to:
- Use the Service to facilitate unlawful activity, sanctioned transactions, money laundering, or fraud.
- Attempt to reverse-engineer, scrape, or overwhelm our authorization endpoint.
- Mint delegate tokens for agents controlled by people other than you or your authorized team.
- Submit identity documents that are not yours or that you do not have legal authority to submit.
4. Identity verification
Vault funding requires identity verification. We use OCR and biometric matching to confirm the person operating the account is the same person on the document. We may flag verifications for manual review at our discretion. We do not store raw document images outside the encrypted identity-vault bucket.
5. Plans, billing, and refunds
- The Free tier is permanent. Paid plans are billed monthly via Stripe.
- You can cancel any time. Cancellations take effect at the end of the billing period.
- If you exceed your monthly auth check quota, the authorize endpoint returns HTTP 402 until you top up or upgrade.
- Refunds: pro-rated within the first 14 days of any new paid plan, on request.
6. SLA
Scale and Enterprise plans include a 99.9% uptime SLA on the authorize endpoint. See /status for current health and historical uptime.
7. Data ownership
You own all data you submit to Greene Comply — including transactions, vaults, agents, and audit logs. We process it on your behalf strictly to operate the Service. You can export it anytime via the dashboard or API.
8. Limitation of liability
To the maximum extent permitted by law, Greene Comply's total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for any consequential, incidental, or indirect damages, including lost profits or lost revenue from missed agent transactions.
9. Termination
Either of us can terminate this agreement at any time. We'll give you 30 days' notice before terminating a paid account except in cases of fraud, abuse, or legal compulsion.
10. Changes to these terms
We may update these terms occasionally. If the change is material, we'll email the account owner and post the change in the /changelog.
11. Governing law
These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the state or federal courts located in New Castle County, Delaware.
